Wholesale Terms of Sale

1. Seller

These Wholesale Terms of Sale (“Terms”) apply to every account opened and every order placed on this website. The seller is VANSKAI TRADING LTD. (GST/HST registration no. 767692510 RT0001) (“we”, “us”), the distributor of 1AM products:

The buyer is the approved retail business that holds the account (“you”). By opening an account or placing an order, you accept these Terms, the Vaping Product Compliance terms below, our Shipping Policy, Return Policy and Privacy Policy.

2. Account eligibility, approval and suspension

We sell only to verified, licensed adult-only vape retail stores in British Columbia, Alberta and Saskatchewan, for resale in those stores. We do not sell to consumers. To open an account, you must provide accurate business information and documents; we may ask for more at any time (see Vaping Product Compliance, section 1).

We may approve, refuse, suspend or close an account at our discretion, including if information is inaccurate, documents expire, or a breach of these Terms or of the law is reasonably suspected. You must tell us promptly about any change in your business name, address, ownership or licences, and you are responsible for orders placed through your login.

3. Orders and acceptance

An order placed on this website is an offer to buy. Receiving or acknowledging your order is not acceptance. A contract is formed only when we email you our order confirmation. We may refuse or cancel an order, in whole or in part, including for stock availability, excise stamp availability for your province, pricing errors or failed verification. If we cancel a paid order, we refund the amount paid.

4. Prices and taxes

Prices are in Canadian dollars and are set by province: the price and excise stamp follow the store province selected for the order. Prices exclude GST, which is added at checkout and shown on your invoice (GST/HST registration no. 767692510 RT0001).

Provincial sales tax (PST) in British Columbia and Saskatchewan is not charged on purchases for resale when you provide a valid PST number; you are responsible for any PST that applies otherwise. Prices may change without notice; the price shown when you place an order applies to that order.

5. Payment

We accept Interac e-Transfer. Send the order total by Interac e-Transfer to skaitradingllc@gmail.com, with your order number in the message, within 2 business days of placing the order. Orders are processed only after payment is received, and unpaid orders are cancelled automatically after that time.

6. Shipping, title and risk

We ship only to the licensed store locations registered on your account, within British Columbia, Alberta and Saskatchewan, as described in our Shipping Policy. Title to the products passes to you when we receive payment in full. Risk of loss passes to you when the order is delivered to your store.

7. Inspection and claims

Inspect each delivery when it arrives. Report damaged, missing or incorrect items, or stamp errors, within 3 business days of delivery, with your order number and photos, as set out in our Return Policy. All sales are final, except as set out in the Return Policy or as required by law.

8. Product warranty

We warrant that products are free from manufacturing defects when delivered. If a product is defective and you report it within 30 days of delivery, we will replace it or issue a credit, at our option. This is your only remedy for defective products, and we give no other warranties, express or implied, to the extent permitted by law.

9. Limitation of liability

To the extent permitted by law, our total liability for any claim relating to an order is limited to the amount you paid for that order. We are not liable for indirect, incidental or consequential losses, including lost profits.

10. Indemnity

You are responsible for, and will indemnify us against, any claims, fines, penalties and costs arising from your resale, display, promotion or handling of products in breach of these Terms or of any federal, provincial or local law, including age, excise stamp, labelling, display and advertising rules.

11. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there. The courts of British Columbia have exclusive jurisdiction over any dispute.

12. General

Our Privacy Policy explains how we handle personal information. We may change these Terms by posting a new version on this website; the version posted when you place an order applies to that order, and we will tell account holders by email about material changes. If any part of these Terms is found invalid, the rest remains in effect. These Terms, together with the policies linked above, are the entire agreement between you and us about your orders.

Vaping Product Compliance – Wholesale Sales Only

1. Authorized Retailers Only

All vaping products offered through this website are sold by VANSKAI TRADING LTD. exclusively to verified and approved adult-only vape retailers. Sales to individual consumers are strictly prohibited.

By placing an order, the purchaser confirms that their business is legally authorized to purchase and resell vaping products and that all business information provided is accurate and current. Any changes affecting the business’s eligibility must be promptly reported to VANSKAI TRADING LTD.

2. Compliance with Federal and Provincial Regulations

Purchasers are responsible for ensuring that their retail activities comply with all applicable federal, provincial, territorial, and local laws and regulations governing the sale of vaping products.

This includes, but is not limited to, age restrictions, product restrictions, sales and advertising requirements, and any applicable regulatory reporting obligations.

3. Excise Stamp and Provincial Sales Compliance

All vaping products must be sold in accordance with applicable Canadian excise stamp requirements.

Purchasers must ensure that products are offered for retail sale only in jurisdictions where their respective excise stamps are valid.

Products must not be transferred, redistributed, or resold in a manner that violates applicable excise stamp or provincial regulations.

We ship only products stamped for your store’s province, and only to the licensed store locations registered on your account. Purchasers must check each delivery and promptly notify VANSKAI TRADING LTD. of any stamp discrepancy.

4. Product Integrity and Unauthorized Modifications

Purchasers must not alter, tamper with, or remove any original product packaging, nicotine contents, warning labels, regulatory markings, or excise stamps, except as expressly permitted or required by applicable law.

Unauthorized modifications or repackaging of products are strictly prohibited.

5. Product Safety and Recalls

Purchasers must promptly notify VANSKAI TRADING LTD. of any known product defects, safety concerns, or suspected regulatory non-compliance.

In the event of a product recall or safety-related corrective action, purchasers must immediately cease the sale of affected products upon notification and cooperate with all applicable recall and corrective procedures.

6. Right to Refuse Orders or Suspend Accounts

VANSKAI TRADING LTD. reserves the right to request additional business verification, refuse or cancel orders, or suspend or terminate accounts if a purchaser fails to meet eligibility requirements, provides inaccurate information, or is reasonably suspected of violating applicable vaping regulations.

Nothing in these terms limits any legal obligations imposed on VANSKAI TRADING LTD. by applicable law.
